Terms of Service

Welcome to Replytone. These Terms and Conditions ("Terms") govern your use of the Replytone website located at https://replytone.comand the Replytone software, dashboard, campaign tools, and related posting services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you must not use our Service.

The Service is intended solely for users who are eighteen (18) years of age or older. By using the Service, you represent and warrant that you are at least 18 years old.

2. License Grant & Campaign Access

Subject to your compliance with these Terms and payment of any applicable fees, Replytone grants you access to our marketing dashboard and posting infrastructure.

Under this service, Replytone uses its own proprietary network of Reddit accounts to publish marketing posts, comments, and replies on Reddit on your behalf.

• You are never required to provide us with your personal Reddit credentials, nor do we access or use your personal Reddit accounts.
• Replytone retains full ownership and control over all Reddit accounts, posting infrastructure, and tools used to deliver the Service.

Replytone reserves the right to terminate, suspend, or restrict your campaign access to the Service at any time, without prior notice or liability, in our sole discretion, including if the links, products, or services you promote violate these Terms or Reddit's platform policies.

3. Third-Party Platform & Content Moderation Disclaimer

Replytone is an independent marketing service. Replytone is not affiliated, associated, authorized, endorsed by, or in any way officially connected with Reddit, Inc. or any of its subsidiaries or affiliates.

You acknowledge and agree that:

• Subreddit Moderation & Comment Deletion: Reddit is a moderated platform. Subreddit moderators (independent volunteers) and Reddit administrators have complete freedom to remove comments, delete posts, or lock threads at their sole discretion.
• No-Liability for Content Removal: Replytone does not guarantee that any comment, post, or reply published by our network will remain online indefinitely. We shall not be liable, under any circumstances, for any comment or post deleted, removed, or hidden by third-party moderators, nor for any loss of traffic or business resulting from such moderation.
• Link Blacklisting:If the URL, website, or brand you ask us to promote is blacklisted or blocked by Reddit's domain filters, Replytone cannot bypass this block and is not responsible for campaign failures resulting from your domain's reputation.

4. Your Links & Content Restrictions

You retain ownership of any brand assets, website URLs, and text descriptions you submit to the Service for promotion ("Promotional Materials").

You represent and warrant that the website, products, and links you promote through Replytone:

• Are fully legal and comply with applicable laws.
• Do not promote scams, phishing, malware, illegal goods, adult services/pornography, gambling, or copyright-infringing material.
• Do not violate Reddit's core Content Policy.

Replytone reserves the right to immediately cancel and block any campaign promoting restricted content, without refund.

5. Intellectual Property

All rights, title, and interest in and to the Service, including the campaign software, the soundwave logo mark, dashboard design, illustrations, and proprietary posting algorithms, belong exclusively to Replytone. You may not copy, reverse-engineer, modify, distribute, or sell any part of our intellectual property.

6. Disclaimers & "As-Is" Provision

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS. REPLYTONE EXPRESSLY DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND THAT THE SERVICE WILL GENERATE CONVERSIONS, LEADS, OR SALES. NO ADVICE OR INFORMATION OBTAINED BY YOU FROM US SHALL CREATE ANY WARRANTY.

7. Limitations of Liability

IN NO EVENT SHALL REPLYTONE, NOR ITS OFFICERS, DIRECTORS, AND EMPLOYEES, BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, REVENUE, OR DATA) ARISING OUT OF THE USE OF THE SERVICE OR THE REMOVAL OF PROMOTIONS BY THIRD-PARTY PLATFORMS.

REPLYTONE’S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL BE STRICTLY LIMITED TO THE ACTUAL AMOUNT OF MONEY PAID BY YOU TO REPLYTONE FOR THE SERVICE IN THE THIRTY (30) DAYS IMMEDIATELY PRECEDING THE CLAIM.

8. Indemnification

You agree to indemnify, defend, and hold harmless Replytone, its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from your breach of these Terms, the legality of the products/services you promote, or your violation of any third-party intellectual property or trademark rights.

9. Variation of Terms & Assignment

Replytone reserves the right to modify or replace these Terms at any time. By continuing to access the Service after changes become effective, you agree to be bound by the updated Terms.

Replytone may assign, transfer, or subcontract its rights and obligations under these Terms without restriction or notice. You may not assign or transfer your rights or obligations under these Terms.

10. Governing Law & Jurisdiction

These Terms and any dispute arising out of or in connection with them shall be governed by, and construed in accordance with, the laws of the Republic of Azerbaijan. Any legal action, suit, or proceeding arising out of these Terms shall be resolved exclusively in the courts located in the Republic of Azerbaijan, and you submit to the personal jurisdiction of such courts.
